    1.6 Inter-Entity Legal Structure

  • Smaart Square (India) and Shiva Internet (Shanghai) are legal entities solely for: (a) employing gig workers compliantly in their jurisdictions, (b) holding necessary business licenses (WeChat Work, ICP if needed), and (c) receiving any minimal operational disbursements.
  • No fixed monthly/annual budget for either entity. Instead: Jiya HK pays gig workers directly per task. Entities exist as shells for legal compliance only - their costs are near-zero (annual filing fees).
  • IP Assignment: All gig workers sign IP assignment. All work product, data, and supplier relationships are owned by Jiya HK.
  • Governing Law: Hong Kong. Disputes: HKIAC.

  • 2. Fund Flow & Treasury Architecture

    2.1 Core Principle: 100% Client Payment - Hong Kong First

    Jiya HK does NOT hold an escrow/money service operator license. Instead, funds are received as advance payment for services + goods, with Jiya HK acting as the contractual principal in the transaction - the buyer contracts with Jiya HK, and Jiya HK contracts with the supplier.
